These Terms of Use ("Terms") constitute a legally binding agreement between you and
MichaÅ‚ WÅ‚osik EFC, ul. PĂ³Å‚nocna 16/5, 54-105 WrocÅ‚aw, Poland (NIP: 8942747708) ("we",
"us", "our"), governing your use of the Sidecue browser extension, web dashboard, and any related
services (collectively, the "Service").
By installing, accessing, or using the Service, you confirm that you have read, understood, and agree
to be bound by these Terms and our Privacy Policy. If
you do not agree, you must uninstall the Extension, cease using the web dashboard, and discontinue
use immediately.
2 Eligibility
The Service is intended for individuals aged 16 and older. By using Sidecue, you represent and warrant
that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you
are using the Service on behalf of an organization, you represent that you have the authority to bind
that organization to these Terms.
3 Account Registration
To use the Service, you must create an account using an email address and password or by signing in
with Google OAuth.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You agree to provide accurate and complete registration information and to keep it up to date.
You must notify us immediately at contact@sidecue.app if you suspect
unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably
believe are being used fraudulently.
4 Description of the Service
Sidecue consists of a Chrome extension and a companion web dashboard that together provide real-time
conversational assistance. During an active session, the Extension:
Captures audio from a browser tab and your microphone.
Transcribes the audio in real time using a third-party speech-to-text service.
Detects questions or talking points from the transcribed speech.
Generates suggested answer cues using a large language model, displayed in a side panel or
floating overlay.
The web dashboard allows you to manage your knowledge base (context text and uploaded files), review
your session history, and manage your account and subscription. Knowledge base content syncs
automatically between the dashboard and the Extension.
Sidecue is an assistive tool. The cues it generates are suggestions only. You are solely
responsible for what you say during any conversation. We make no guarantees about the accuracy,
completeness, or appropriateness of any generated content.
5 Plans, Quotas, and Billing
5.1 Free and Paid Plans
Sidecue offers a free tier with a limited monthly usage quota and paid plans with higher quotas. Plan
details, pricing, and quota limits are displayed within the Extension and on our website at sidecue.app/pricing.
5.2 Usage Metering
Session usage is metered by duration. Each session consumes time from your monthly quota. When your
quota is exhausted, you will be unable to start new sessions until the next billing period begins or
you upgrade your plan.
5.3 Billing and Payments
Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan
selected). Payments are processed by Polar.sh. We do not receive or store your payment card
details.
By subscribing to a paid plan, you authorize recurring charges at the applicable rate until you
cancel.
Prices may change with reasonable notice. Continued use after a price change constitutes
acceptance of the new price.
5.4 Cancellation and Refunds
You may cancel your paid subscription at any time through the account management portal. Upon
cancellation, your subscription remains active until the end of the current billing period. No
prorated refunds are provided for partial billing periods. If you believe a charge was made in error,

6 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree
not to:
Use the Service in any situation where recording or AI-assisted responses are prohibited by law,
regulation, or the policies of the platform or organization involved.
Use the Service to deceive, defraud, or misrepresent your qualifications or identity in any
professional, academic, or legal setting.
Record, capture, or redistribute the conversations of others without their knowledge and consent
where required by applicable law.
Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code or
underlying algorithms of the Service or its server-side components.
Circumvent, disable, or interfere with usage metering, quota enforcement, or any access control
mechanisms.
Share, resell, or sublicense your account or access credentials to any third party.
Upload or submit content through the knowledge base or any other input that is unlawful,
harmful, or infringes the intellectual property rights of any third party.
Use automated tools, bots, or scripts to interact with the Service in a manner that exceeds
normal human usage.
Interfere with or disrupt the integrity or performance of the Service or its related
infrastructure.
You are solely responsible for ensuring that your use of Sidecue complies with all applicable
laws, regulations, and third-party policies in your jurisdiction — including consent and
recording laws.
7 Your Content
7.1 Knowledge Base and Uploaded Files
You may provide content through the knowledge base (context text and uploaded files such as resumes,
job descriptions, and notes). This content is stored on our servers (see our
Privacy Policy) and is used to personalise cue
generation during your sessions. At session start, uploaded files are temporarily transferred to
Google's Gemini File API for AI processing; these copies expire automatically after 48 hours.
You retain all ownership rights to any content you provide. By using the Service, you grant us a
limited, non-exclusive license to store, sync, and process your content solely for the purpose of
delivering the Service. This license terminates when you delete the relevant content or your
account.
7.2 Session History
At the end of each session, the conversation transcript and generated cues are saved to your account
and are accessible via the web dashboard. You may delete individual sessions or your entire history
at any time. You are responsible for ensuring that saving session transcripts complies with
applicable consent and recording laws in your jurisdiction.
7.3 Generated Cues
Cue responses are produced by third-party AI models. We do not claim ownership over generated cues.
Generated content is provided "as is" and may contain inaccuracies, fabrications, or inappropriate
suggestions. You are responsible for reviewing and deciding whether to use any generated content.
8 Intellectual Property
The Service — including its design, code, user interface, branding, and documentation — is the
property of Michał Włosik EFC and is protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use
the Service for its intended purpose, subject to these Terms.
You may not copy, modify, distribute, sell, or create derivative works based on the Service
without our prior written consent.
The name "Sidecue", the Sidecue logo, and related marks are our trademarks. You may not use
them without our permission.
9 Third-Party Services
The Service relies on third-party services to deliver its core functionality, including Deepgram
(speech-to-text), Google Gemini (AI cue generation), Supabase (authentication, data storage, and
session history), and Polar.sh (payment processing).
These services are operated by independent third parties and are subject to their own terms and
privacy policies.
We are not responsible for the availability, accuracy, or conduct of any third-party
service.
If a third-party service experiences downtime, changes its terms, or discontinues operation,
the functionality of the Service may be affected. We will make reasonable efforts to address
such disruptions but are not liable for them.
10 Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any
kind, whether express or implied.
To the fullest extent permitted by applicable law, we disclaim all warranties, including but not
limited to:
Implied warranties of merchantability, fitness for a particular purpose, and
non-infringement.
Any warranty that the Service will be uninterrupted, error-free, secure, or free from harmful
components.
Any warranty regarding the accuracy, reliability, or completeness of AI-generated cues or
transcriptions.
Any warranty that the Service will meet your specific requirements or expectations.
The accuracy of speech-to-text transcription and AI-generated responses depends on many factors,
including audio quality, background noise, accents, language, and the limitations of the underlying
AI models. Results will vary.
11 Limitation of Liability
To the maximum extent permitted by applicable law:
We shall not be liable for any indirect, incidental, special, consequential, or punitive
damages arising out of or related to your use of the Service, including but not limited to loss
of profits, loss of data, loss of employment opportunities, reputational damage, or any damages
resulting from reliance on AI-generated content.
Our total aggregate liability for all claims arising from or related to these Terms or the
Service shall not exceed the amount you have paid us in the twelve (12) months preceding the
event giving rise to the claim, or fifty euros (€50), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In
such jurisdictions, our liability is limited to the greatest extent permitted by law.
12 Indemnification
You agree to indemnify, defend, and hold harmless Michał Włosik EFC from and against any claims,
liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of
or related to:
Your use of the Service.
Your violation of these Terms.
Your violation of any applicable law, regulation, or third-party right.
Any content you provide through the Service, including knowledge base content and uploaded
files.
Your reliance on or use of any AI-generated content produced by the Service.
13 Termination
13.1 By You
You may stop using the Service and uninstall the Extension at any time. You may delete your account
from the web dashboard or by contacting us at contact@sidecue.app. Deleting your
account will permanently remove your knowledge base, session history, and uploaded files. If you
have an active paid subscription, cancellation is handled separately through the account management
portal.
13.2 By Us
We may suspend or terminate your account and access to the Service at any time, with or without
notice, if:
You breach any provision of these Terms.
We are required to do so by law.
We discontinue the Service or any part of it.
We reasonably believe your use poses a risk to the Service, other users, or third parties.
Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual
property, disclaimers, limitation of liability, indemnification, and governing law survive
termination.
14 Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the
"Effective date" at the top of this document and, where feasible, notify you via the Extension or
our website. Your continued use of the Service after updated Terms take effect constitutes your
acceptance of the changes. If you do not agree to the updated Terms, you must stop using the
Service.
15 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Poland,
without regard to its conflict of law principles. Any disputes arising from or related to these
Terms shall be subject to the exclusive jurisdiction of the courts in Wrocław, Poland.
If you are a consumer residing in the European Union, you may also be entitled to invoke the
mandatory consumer protection laws of your country of residence, and you may bring proceedings in
the courts of that country.
